首家比特币机构拟上市：起底比特币集团

在国内比特币市场还在步履蹒跚寻出路之时，已有比特币平台准备谋求上市之路。昨日，总部位于墨尔本、由几名华人组建的比特币集团表示，将作为比特币行业的首家上市公司在澳洲上市。北京商报记者调查后发现，该公司目前仅有18名员工，其中核心员工3名，目前仅有对冲基金业务，上市融资后才会推出“挖矿”等业务。对于这个并不知名的比特币交易平台，国内业界对其能否成功上市也意见不一。

首家比特币机构拟上市

昨日，比特币集团相关人士发给北京商报记者的一份新闻稿中表示，总部位于澳大利亚墨尔本的比特币集团宣布，公司计划于今年12月1日在澳洲证券交易所上市，并成为首家通过IPO上市的比特币交易公司。

据比特币集团总裁Sam Lee介绍，比特币集团的上市日期预计在2014年12月1日。据《悉尼晨锋报》报道，比特币集团打算以每股20分的价格向投资者募资2000万澳元，折合人民币1.07亿元，这个规模相当于A股创业板上市公司IPO时的融资规模。

根据比特币集团官网提供的IPO进程，比特币集团拟在10月22日向澳大利亚证券和投资委员会（ASIC）提供招股说明书，并将于10月29日进行上市申请，IPO截至日期是到11月29日。顺利的话，将于11月30日发布股份持有说明书，并预计于12月1日在澳洲证券交易所公布发行价，进行上市。

Sam Lee向北京商报记者表示，完善的监管体制和对创新金融的鼓励是比特币IPO上市的基础。“目前澳大利亚是对比特币最支持的国家。澳大利亚希望成为虚拟货币领先的国家。同时，澳大利亚也对比特币的交易与使用有非常系统和针对性的监管模式，并将其看做资产、物品和现金。澳大利亚税务局8月20日在官方网站上发布了相关规定。澳大利亚十分支持比特币的使用。” Sam Lee解释道。

Sam Lee称，因为比特币行业现在最缺乏的就是安全性、透明性以及合法性，上市可以为这个行业带来安全性、透明性以及合法性，让更多的人了解到比特币真正存在的意义，以及它内在所包含的高科技含量。

世元金行高级研究员、比特币等电子货币研究人士肖磊向北京商报记者表示，比特币交易平台上市对于比特币本身而言影响并不是很大，但是对比特币交易平台的参与者而言会大增信心，使比特币能得到更多官方政府的认可。

18名员工 1种业务

对于这家并不为很多人熟知的公司，它的核心工作人员以及主营业务也是最受关注的一点。

据了解，目前比特币集团有三名核心成员，其中总裁（CEO）为Sam Lee，他是墨尔本比特币社区的发起人和组织者，墨尔本比特币社群是全世界第三大比特币社区。Sam Lee接触比特币已经有三年时间，同时他也创建了全世界第一个比特币的对冲基金。剩下两个核心成员分别是首席财务官（CFO）Allan Guo和首席技术官（CTO）Jin Chen。

据比特币集团官方网站显示，他们目前仅有18名员工，但是投资者超过2500名。

目前这家拟上市的公司仅有一个业务，那就是对冲基金业务。Sam Lee介绍，对冲基金是通过在全世界不同的比特币交易所，利用差价在同一时间进行低买高卖而为客户赚取利润的。因为每个国家对比特币的态度都不一样，当每一个国家出了一些好或是不好消息的时候，那个国家的比特币价格就会提前做出反应，他们再进行交易。在去年四季度，美国和中国比特币的差价在20%左右，就为客户赚取了不错的利润。

目前比特币集团的财务报表并未公布，盈利情况也并不清楚，他们声称从去年6月到现在为客户带来了704%的回报率。

不过目前仅有的对冲基金并非比特币集团的最佳盈利模式，他们也将于上市后开发“挖矿”业务和比特币支付系统开发和推广业务。

Sam Lee介绍，在比特币集团的业务中“挖矿”是最具利润空间的主营业务，这项业务主要利润来源于解码比特币并将其在自由市场卖出交易成其他货币。“挖矿机”的生产在中国比较多，因为“挖矿”的成本是电费和散热，所以天气冷和电费便宜的地方回本更快。比特币集团称未来的“挖矿”业务可能会设在冰岛、俄罗斯以及国内东北和内蒙古。

能否顺利上市成功

北京商报记者在采访过程中发现，对于比特币集团的上市，各路分析人士持不同的观点。

肖磊认为，比特币集团在澳洲证券交易所上市的可能性较大，因为澳洲证券交易所也是一个以盈利为目的的公司，对于上市条件放得很宽，只要有一定的现金流，有较为清晰的业务框架是可以上市的。如果批准上市之后，能说服投资人，融资也有可能会超预期。

除此之外，一位比特币交易平台负责人向北京商报记者表示，对于比特币交易平台而言目前最缺的是资金，有了资金支持才能谋求更好的发展，而澳大利亚证券交易所对于上市公司要求十分简单，因此比特币集团才会选择在澳大利亚证券交易所上市。

但国内一位知名比特币交易平台高层向北京商报记者表示，比特币产业分为上中下游：上游包含芯片研发、矿机生产、矿池、矿场；中游包含交易、兑换平台；下游包含支付、应用、金融衍生品，目前这几个链条里没听说过这个比特币集团的业务是排名靠前的，或者比特币业内多数人并不清楚这家公司，上市后能否融到预期的资金还存在一定疑问。

“即使监管层允许比特币交易平台上市，但目前比特币集团业务过于单一，最具利润的业务目前并没有开展，能否说服投资者进行融资也是目前一个较大的问题”，一位比特币交易平台内部人士向北京商报记者说道。
